This highly visible leadership role serves as the organization’s senior legal advisor and strategic business partner, providing hands-on counsel across healthcare operations, physician contracting, regulatory compliance, employment matters, strategic transactions, litigation oversight, and corporate governance. The ideal candidate is an experienced healthcare attorney who combines strong legal expertise with practical business judgment, thrives in a fast-paced and evolving environment, and brings a collaborative, solutions-oriented approach to complex organizational challenges. This leader will work closely with executive leadership, physician leaders, the Board of Directors, investors, lenders, and external advisors to support strategic growth while proactively managing legal and regulatory risk. Refer a friend who’d be a great fit for One GI® and earn a special bonus when they join the team!   Key Responsibilities Strategic Legal Leadership Serve as the organization’s primary legal advisor, providing practical, risk-based guidance across all areas of the business. Deliver hands-on legal support while strategically engaging outside counsel for specialized matters and litigation. Partner closely with executive leadership on strategic initiatives, operational decisions, and organizational growth opportunities. Balance legal risk management with business objectives to support timely and effective decision-making.   Physician & Employment Matters Draft, review, and negotiate physician employment agreements and related arrangements. Support the design, implementation, and review of physician compensation models. Advise leadership on physician recruitment, retention, transition, and separation strategies. Provide practical counsel on employee relations, workplace policies, investigations, and HR-related legal matters. Manage employment-related legal matters and oversee external labor and employment counsel.   Compliance & Healthcare Regulatory Affairs Advise on healthcare regulatory requirements, including Stark Law, Anti-Kickback Statute, HIPAA, corporate practice of medicine, and related healthcare laws. Support the development, implementation, and oversight of corporate compliance programs and policies. Review physician compensation arrangements and business models for regulatory compliance. Assist with internal investigations, audits, and responses to governmental or regulatory inquiries. Monitor and communicate changes in healthcare laws and regulations impacting organizational operations.   Contracting & Commercial Transactions Draft, review, and negotiate a broad range of agreements, including vendor, technology, consulting, research, and commercial contracts. Develop and enhance contract management processes, internal controls, and workflow efficiencies. Maintain contract repositories and tracking systems to support operational visibility and compliance. Collaborate with operational leaders to streamline contracting processes and improve turnaround times.   Litigation & Risk Management Manage litigation, disputes, claims, and regulatory matters in partnership with outside counsel. Oversee legal spend and external counsel relationships to ensure effective and efficient legal support. Provide proactive risk assessments and practical mitigation strategies. Support insurance, claims management, and incident response activities. Develop initiatives to minimize organizational legal exposure and strengthen enterprise risk management.   Strategic Transactions & Growth Initiatives Support mergers, acquisitions, divestitures, joint ventures, partnerships, and affiliation transactions. Coordinate legal due diligence efforts and transaction documentation. Draft and negotiate letters of intent, purchase agreements, and ancillary transaction documents. Partner with leadership on strategic growth initiatives and operational expansion opportunities. Provide legal guidance during integration, transition, and post-transaction activities.   Corporate Governance Support Board of Directors and committee governance activities. Prepare and maintain corporate records, resolutions, minutes, and governance documentation. Coordinate legal matters related to lender, investor, and Board requirements. Assist with governance policies, organizational compliance initiatives, and entity management. Provide legal guidance regarding corporate structure and governance best practices.   Education & Qualifications Juris Doctor (JD) degree from an accredited law school required. Active license to practice law required; Tennessee licensure or eligibility for admission preferred. Minimum of eight (8) years of progressively responsible legal experience, preferably within healthcare or highly regulated industries. Demonstrated expertise in healthcare services, physician practice management, healthcare operations, and healthcare transactions strongly preferred. Deep understanding of healthcare regulatory frameworks, including Stark Law, Anti-Kickback Statute, HIPAA, corporate practice of medicine, and employment-related legal matters.
